According to the lawsuit, throughout the Class Period, defendants made materially false and misleading statements and/or failed to disclose that: (1) Hertz’s liquidity was deteriorating far more rapidly than represented, and Hertz’s available liquidity was not sufficient to fund its operations and obligations for the next twelve months without resorting to a distressed, dilutive financing; (2) the softness in the used-car market that defendants had characterized as “isolated to the quarter” and “transitory” had in fact recurred and was materially depressing Hertz’s net depreciation per unit (“DPU”) and Adjusted Corporate EBITDA; (3) as a result of the foregoing, Hertz was likely to undertake a dilutive, distressed capital raise that would materially harm existing shareholders; and (4) as a result of the foregoing, defendants’ positive statements about Hertz’s business, operations, and liquidity position were materially false and misleading and lacked a reasonable basis at all relevant times. When the true details entered the market, the lawsuit claims that investors suffered damages.
